Terms and conditions of recurring payments

§1 General Provisions

1. These terms and conditions define the rules for making automatic payments from a payment card for services provided by Smartx Technologies Ltd, based in the United Kingdom.
2. The terms and conditions are available for review on the website at: https://smartxhosting.uk/legal-acts/.
3. These terms and conditions do not apply to services that are billed with a deposit or services that, due to their specific nature, cannot be subject to recurring payments.

§2 Definitions

1. Smartx Technologies Network Terms and Conditions - a document available on the website: https://smartxhosting.uk/legal-acts.
2. Client - a natural person, legal entity, or organizational unit using the services of Smartx Technologies.
3. Services - electronic services provided by Smartx Technologies to the client.
4. Subscription Period - the period specified in the service specification during which the client uses the service for a fee, starting from the day the service begins.
5. Billing Period - the period for which the service fee is charged, equal to the subscription period in the case of one-time payments.
6. Trial Period - the period specified in the service specification during which the client tests the service for free.
7. Price List - a list of fees and commissions related to the use of Smartx Technologies services.
8. Client Panel - a tool for managing services, making payments, and accessing technical support from Smartx Technologies, available after logging in on the website: https://smartxhosting.uk/.
9. Recurring Payments - a method of payment for services by the client, involving the automatic withdrawal of the service fee from the client's payment card.
10. Payment Card - a credit card, debit card, or other similar tool that the client can use for online payments.
11. Party or Parties - Smartx Technologies and/or the client, depending on the context, appearing individually or collectively.
12. All other terms used in these terms and conditions have the meanings defined in the Smartx Technologies Network Terms and Conditions or the terms and conditions for using a specific type of service.

§3 Commencement of Using Recurring Payments

1. The use of recurring payments by the client commences automatically during the procedure of purchasing the service or extending the service period.
2. By placing an order and accepting these terms and conditions, the client consents to recurring payments according to the chosen billing period.
3. The acceptance of recurring payments applies to all services of the client, except for services that, due to their specific nature, cannot be subject to recurring payments.
4. To use recurring payments, the client must possess a payment card and provide its details in the Client Panel.
5. The client is obliged to ensure that there is at least one active payment card on their account throughout the entire period of using the purchased service.
6. In the event of a change in card details, the client is obliged to update them in the Client Panel to maintain the ability to make recurring payments.
7. Activation of recurring payments may also occur automatically when transitioning from the trial period to the subscription period, if such an option is available.

§4 Execution of Recurring Payments

1. The client undertakes to ensure sufficient funds on the payment card to cover the service fee.
2. The invoice for the next subscription period is issued by Smartx Technologies 10 days before the end of the current subscription period. The invoice contains information about the service, the amount due, the payment deadline, and the method of payment.
3. Smartx Technologies may include information in the notification about changes in the terms of service provision, such as changes to the terms and conditions or the price list, as well as commercial information about available promotions.
4. On the date specified on the invoice, Smartx Technologies will attempt to withdraw the amount due from the client's payment card. The amount withdrawn is in accordance with the current service price list and the information contained on the invoice.
5. Smartx Technologies sends a reminder to the client about the upcoming payment deadline 5 days before the end of the subscription period. This reminder is to enable the client to ensure sufficient funds on the payment card and to update the card details if necessary.
6. In the event of insufficient funds on the payment card, Smartx Technologies notifies the client of the "failed payment" and informs them of how to settle the amount due.
7. The client can opt to pay the invoice before the payment deadline through the options available in the Client Panel for the given invoice.

§5 Consequences of Making or Failing to Make a Payment

1. Successfully making the payment for the service automatically extends the service usage period for the next subscription period and implements the announced changes in the terms of service provision.
2. If the client terminates the service agreement less than 14 days before its end, they will be obliged to pay for the next subscription period according to the chosen billing system. If payment is not made or the funds cannot be withdrawn from the card, the client may be charged additional administrative fees and statutory interest. This rule does not apply to the renewal of domains that will expire if not paid.
3. In the event of non-payment for the service according to the issued invoice, the client will receive three automatic notifications: 1, 3, and 5 days after the payment due date.
4. In the event of non-payment for the service according to the issued invoice within 7 days after the payment due date, the service will be suspended until all outstanding invoices and fees are settled.
5. Subsequent invoices for the service will be issued according to the chosen billing system, even if the service is suspended.

§6 Final Provisions

1. In matters not regulated by these terms and conditions, the terms and conditions for the provision of services and the Smartx Technologies Network Terms and Conditions apply.
2. These terms and conditions come into effect on July 1, 2024.
3. Amendments to these terms and conditions are made in accordance with the procedure specified in the Smartx Technologies Network Terms and Conditions.
